These Terms and Conditions (“Terms”) govern your use of BadGoose Publishing website (“Website”) and the purchase of web design & publishing services (“Services”) provided through this Website. By purchasing any Services from us, you agree to be bound by these Terms.

1. Acceptance of Terms
By accessing and using this Website and purchasing our Services, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these Terms, you must not purchase or use our Services.

2. Services Provided
2.1 Scope of Services: We offer a range of web design & publishing services, including but not limited to custom website design, website development, user interface design, website maintenance, personal book and ebook publishing and cover design. A detailed description of the Services will be provided in our proposal or project agreement before work begins.

2.2 Proposal and Acceptance: After initial consultation, we will provide a written proposal outlining the scope, timeline, and cost of the project. By accepting the proposal and making payment, you agree to the terms of the proposal and these Terms and Conditions.

2.3 Revisions and Changes: Minor revisions are included as part of the project scope, as outlined in the proposal. Significant changes or additional work outside of the agreed scope will be billed separately at our hourly rate or as otherwise agreed.

3. Client Responsibilities
3.1 Content and Materials: You are responsible for providing all content, logos, images, and other materials needed for the design of your website or book in a timely manner. Delays in providing these materials may affect the delivery timeline.

3.2 Approval: You agree to review and approve the work as requested throughout the project. Your approval will be required at key stages of the project to ensure the timely delivery of the final product.

4. Payment Terms
4.1 Fees: Fees for our Services will be outlined in the proposal or project agreement. All fees are quoted in GBP (£) or local currency where appropriate and are inclusive of VAT where applicable.

4.2 Payment Schedule: A deposit of 10% of the total project cost is required before work begins. The remaining balance will be due upon completion of the project, or as per the payment schedule outlined in the proposal. Full payment must be received before the final delivery of the product.

4.3 Late Payments: If payments are not made by the agreed deadlines, we reserve the right to pause the project until payment is received. Late payments may be subject to additional charges or interest.

5. Intellectual Property
5.1 Ownership of Work: Upon receipt of full payment, ownership of the final website design, including graphics and source code, will be transferred to you. However, we reserve the right to use the final design in our portfolio or promotional materials unless otherwise agreed in writing.

5.2 Third-Party Materials: Any third-party software, plugins, or services used in the website design remain the property of their respective owners, and you are responsible for complying with any licensing agreements associated with them.

5.3 Trademarks and Copyrights: You represent and warrant that you own or have the rights to use any content, logos, or images provided to us for inclusion in the website. You agree to indemnify and hold us harmless from any claims of intellectual property infringement related to your content.

6. Revisions and Maintenance
6.1 Revisions: Minor revisions (as defined in the proposal) are included in the project scope. Additional revisions beyond this scope will be billed separately at our hourly rate or as otherwise agreed.

6.2 Maintenance: Ongoing website or book maintenance, updates, and support services are not included in the initial web design fee unless specified in the proposal. Maintenance services can be provided at an additional cost through a separate agreement.

7. Delivery and Timeline
7.1 Project Timeline: We will make every effort to complete the project within the agreed timeline. However, delays may occur due to factors beyond our control, such as late delivery of content or unforeseen technical issues. In such cases, we will communicate any delays and work to resolve them as quickly as possible.

7.2 Delivery: The final website or book will be delivered once all payments have been received and the project has been approved by you. If the project includes launching a website, we will assist with the launch process as part of the service.

8. Liability
8.1 Limitation of Liability: To the fullest extent permitted by law, BadGoose Publishing shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the use of our Services or the resulting website or publishing service.

8.2 No Warranty: We make no warranty that the website we design or book will meet your specific requirements or that it will be error-free. We are not responsible for any losses arising from the use of your website, including but not limited to security breaches, website downtime, or errors caused by third-party software.

9. Termination
9.1 Client Termination: You may terminate the project at any time by providing written notice. If the project is terminated before completion, you will be responsible for payment for work completed up to the date of termination.

9.2 Our Termination: We reserve the right to terminate the project if you fail to comply with these Terms and Conditions, including failure to provide necessary content or make timely payments. In such cases, you will be responsible for payment for work completed up to the date of termination.

10. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under these Terms will be subject to the exclusive jurisdiction of the courts of England and Wales.

11. Changes to Terms
We reserve the right to update or change these Terms and Conditions at any time. Any changes will be posted on this page, and your continued use of the Website and purchase of Services will constitute acceptance of the updated terms.
